Leadership
Run by the two people who own it.
PBUH Holdings is a private company limited by shares, incorporated in England and Wales. There is no investment committee to convince — you deal directly with the owners.
01Ownership and board
Ownership and management are aligned.
Both shareholders are registered as people with significant control. Decisions on acquisitions, funding and any material commitment are taken jointly and minuted.

03How we govern
A fixed cadence, in writing.
- Hold a documented board meeting at least quarterly, with subsidiary performance as a standing item
- Receive monthly management information from each subsidiary covering revenue, gross margin, cash, debtors and service exceptions
- Retain accountants to prepare consolidated reporting once the group holds more than one subsidiary
- Keep a written record of every material decision and who approved it
04How we protect the businesses we own
Each exposure has a named control.
| Risk | Exposure | Control |
|---|---|---|
| Integration | The acquired business underperforms after completion | Staged investment with a decision at each stage, monthly management information, seller retained through a handover period |
| Customer concentration | Reliance on a small number of customers | Concentration measured at diligence and monitored monthly, target of no customer above 25 per cent of revenue |
| Currency | The facility is provided from outside the United Kingdom | The facility is denominated in pounds sterling, so the company carries no currency exposure |
| Management capacity | Two working directors carrying both the acquisition and the operating business | Operating management strengthened inside the subsidiary during year 1, so the directors move from running the business to governing it |
